TERMS AND CONDITIONS  CADBURY YOURS FOR GENERATIONS PROMOTION
The Terms and Conditions set out below apply to all qualifying persons (“Participant (s)”) submitting entries for the Cadbury Yours for Generations (“the Promotion”). Please refer to the below website page for the current Terms and Conditions for this Promotion and FAQs: www.cadbury.africa Please read the Terms and Conditions carefully. Participation in this Promotion will constitute your agreement to comply with the Terms and Conditions. If you do not agree with the Terms and Conditions, please do not participate.
1. THE PROMOTION AND PROMOTER
The Promotion is executed locally by Cadbury Kenya Limited of P.O Box 45466 -00100, Cadbury Mauritius Limited located at 33 Edith Cavell Street, Port Louis, 11324, Mauritius and designated agencies in Zambia (“the Promoter”).
2. PROMOTION PERIOD
2.1 The Promotion will run from 1st July 2024 to 30th September 2024 (“Promotional Period”). No submissions received after 23h59 on 30th September 2024 will be accepted.
2.2 The Promotional Period may be extended or curtailed at the discretion of the Promoter.
2.3 The participating products are subject to stock availability at the time of purchase and will vary by store. The Promotion is valid while stocks last.
3. WHO MAY ENTER
3.1 All Participants in the Promotion must, at the time of entering the Promotion:
a) be a natural person and be at least 18 (eighteen) years of age;
b) be a citizen and/or a legal resident of Kenya, Zambia, or Mauritius;
c) be in possession of a valid identity document, resident/work permit and/or driver’s license of the countries listed above; and
d) be residing or be present in Kenya, Zambia, or Mauritius for the duration of the Promotional Period and for the period during which the prize draws and the collection of the prize/s takes place.
3.2 All Participants agree that the Terms and Conditions, rules and provisions as set out herein are binding on them.
3.3 Participation in the Promotion excludes directors, members, partners, promotional and advertising agents, merchandisers, employees or consultants of the Promoter or any third parties involved in the execution of the Promotion, either directly or indirectly (including but not limited to agencies, organizers and/or participating stores of the Promotion) as well as the members of the immediate family (being spouses, life partners, parents, children, brothers, sisters, fathers and/or mothers) and/or business partners or associates of any of the aforesaid persons.
4. HOW TO PARTICIPATE IN THE PROMOTION
4.1 MICROSITE PROMOTION- SHARE A CADBURY MEMORY MECHANIC
To participate in the Promotion, Participants will be required to follow the steps outlined below:
  1. Purchase the Participating Products which include two (2) participating Cadbury Dairy Milk chocolates with the Vintage designs as listed in paragraph 4.2.
  2. Enter the website url  www.cadbury.africa found on communication material in store (wobblers, shelf strips, gondola ends, Blitz) or Cadbury Facebook /Twitter platforms or Television.
  3. Participants will be required to follow prompts and will be directed to www.cadbury.africa to choose your country and be redirected to your country’s website.
  4. To participate in the Promotion, each Participant must share their fondest Cadbury Memory by uploading an Image, or Text, Video or Voice Recording of the memory (entries) via the Promotional Page www.cadbury.africa , Image File Size Restriction, not larger than 10MB Video File Size Restriction, not larger than 10MB ,Voice Note / Recording SizeRestriction, not larger than 10MB.
  5. Text submissions have a word count limitation of 200 words to ensure content is kept to a condensed format for memory submissions.
  6. A valid entry is classified as the successful upload of a respectful Cadbury Memory to the microsite, which is vetted by a panel of judges from the Promoter and/or their appointed Agency of Record.
  7. Should a Cadbury Memory need to be edited, a Participant will need to upload a new memory via the microsite and this will be treated as a new entry into the Promotion.
  8. Amendment to any entry after the submission deadline of the Promotion will not be considered and the Participant will be deemed to have withdrawn from the Promotion.
  9. Where a video, image, text or voice recording contains multiple parties, the entrant is responsible to ensure that their consent is obtained to appear or use of their voice in any submissions for this Promotion. The Promoter will not be held responsible should a dispute arise between parties where an entrant to the promotion has not followed due diligence to obtain permission to use another person’s image, video, text or voice to enter the Promotion.
  10. Where a video, image, text or voice recording contains children/minors, the entrant is required to obtain consent of the guardians in order for them to appear in the video or use their voice in any submissions for this Promotion. Such consent is required for the entry to be valid in the Promotion.
  11. This Promotion will be available online only at: www.cadbury.africa
  12. Participants will also be prompted to enter their name, phone number, share Cadbury Memory and enter the unique 12-digit promotion code into the mobile or desktop version of the website and follow the instructions to complete any of the actions above. The interface may be: Served as an ad unit; Be accessible through a link on the Cadbury Dairy Milk Facebook page; Through the Cadbury website-the url Cadbury. Africa is also found on POS/Wobblers in store; The unique 12-digit promotion code is found inside the wrapper of Cadbury Dairy Milk Vintage packs.
  13. Participants can also visit an activation nearest and suitable to them, at their nearest store. Participants will be guided by brand ambassadors through the process of sharing their Cadbury Memory.
  14. Memories submitted will be processed and utilized as part of the Promotion and a participant can have their memories showcased on the Promoter’s microsite. Selection of final memories is at the discretion of the Promoter and the participants will be notified.
  15. The collected memories will be assessed against selected criteria at the Promoter’s or appointed agency’s discretion. Only the final selected memories will be edited into a collage and shared on the Promoter’s social media platform.
  16. The Promoter shall not be responsible for any network costs or telecommunication failure on the part of the Participant’s service provider.
  17. Participants shall be solely responsible for the content entered in connection with this Promotion and the Promoter shall not be liable in any manner for any content uploaded in error or by mistake by the Participants.
  18. No responsibility is accepted for any video, image, text or voice recording that are incomplete, tagged incorrectly, unreadable, ineligible, corrupted, misdirected, lost or delayed or are unable to be sent/ published due to technical or transmissions failures of any kind or any other reason.
  19. Entries generated by script, macro, bot, or other means not sponsored by the Promoter or any other automated means and entries aimed to subvert the entry process or do not conform to these terms and conditions may disqualify the Participants.
4.2 MICRO SITE PROMOTION: BUY, ENTER & WIN (UNIQUE CODE MECHANIC)
4.2.1 To qualify for the Promotion, each Participant must purchase any (2) participating Cadbury Dairy Milk chocolates with the Vintage designs.

4.2.2 A participant will be required to enter the unique promotion code found inside the Vintage packs (participating packs) in the promotion website.
4.2.3 If no unique code is found inside the wrapper of any of the Participating Products, entrants will be able to get a replacement code as long as the entrant can produce a till slip showing purchase of the Participating Products. Please follow the instructions carefully.
4.3 IN-STORE ACTIVATIONS
4.3.1 Marketing Information
4.3.1.1     By registering for the activation, Participants consent to receiving marketing information from the  Promoter during and after the activation.
4.3.1.2 Participants acknowledge that their personal information may be used for marketing purposes and that they can opt out at any time.
4.3.2 Video and Image Capturing 
4.3.2.1 During the activation, video and images may be captured by the Promoter for promotional and  documentation purposes.
4.3.2.2 By entering the activation premises, Participants agree to the Promoter sharing the captured content on their social media platforms and for PR purposes to amplify and report on the activations.
4.3.3 Eligibility
4.3.3.1 Participants of the activation must be:
  1. At least 18 (eighteen) years of age.
  2. A citizen and/or legal resident of the Republic of Kenya, Mauritius, or Zambia.
  3. In possession of a valid Kenyan, Mauritian or Zambian identity document, resident/work permit and/or driver’s licence.
  4. Residing or are present in Kenya, Mauritius, or Zambia for the duration of the Promotional Period.
4.3.4 Admission and Availability
4.3.4.1 The Promoter reserves the right to admit individuals onto the activation premises.
4.3.4.2 The activation prizes are subject to availability. The Promoter cannot guarantee the availability of Prizes for all Participants.
4.3.5 Child Safety Regulations
4.3.5.1 In accordance with child safety regulations, children under the age of 18 will not be allowed onto the activation premises without adult supervision.
4.3.6 Identity Verification
4.3.6.1 The Promoter may request participants to provide identity documents to verify their age.
1. Liability and Insurance
Participants are responsible for their own actions and behaviour during the activation.
The Promoter will not be held liable for any injury, loss, or damage that may occur during the activation.
2. Intellectual Property
By participating, Participants grant the Promoter the non-exclusive right to use, reproduce, and distribute the messages for promotional purposes.
3. Disclosure of Third-Party Information
  1. By sharing Yours for Generations Memories through the activation, Participants acknowledge that they are disclosing third-party information.
  2. Participants understand and agree that the Promoter may use the shared messages and content for promotional purposes.
  3. Personal information collected during registration will be used solely for the purpose of the activation and will be handled in accordance with applicable data protection laws.
  4. Participants of the Promotion are voluntarily providing their personal information to the Promoter, its associated agencies and the third-party service providers running the Promotion in conjunction with the Promoter.
4.3.10 Amendments and Cancellation
The Promoter reserves the right to amend or cancel the activation in the event of unforeseen circumstances.
Participants will be informed of any changes through appropriate communication channels.
 5. CAN I QUALIFY MORE THAN ONCE FOR THE PROMOTION?
Multiple entries for the “Microsite Promotion- Share A Cadbury Memory Mechanic” or “Micro Site Promotion: Buy, Enter & Win (Unique Code Mechanic)” will be permitted, subject to each entry being submitted separately and in accordance with entry requirements.
6. PRIZES
6.1 Every participant who enters the 2 unique codes in the microsite is guaranteed to win airtime as set out below:

  6.2 The Promoter and the agency partners through a set criterion will select final 40 memories in each market, Kenya, Mauritius and Zambia and the finalists will be awarded as below:

6.3 Winners will accept the prize as is and at their own risk.
6.4. Promotional images are merely a representation of the prizes and the actual prizes may vary.
6.5. The Promoter reserves the right to substitute any of the prizes for a different prize of similar value.
6.6. Any risks in relation to the prizes (such as loss, theft, or damages) will pass to the winner once the prize has been collected/accepted and/or signed for by the winner. The Promoter will not be responsible for any lost, stolen, or damaged prize and no replacements will be made.
6.7 Prizes are not transferrable or exchangeable and may be forfeited or be the subject of a separate draw or be allocated to another winner at the Promoters' discretion.
6.9. All prize finalists will be subject to a verification process. Winners will be confirmed only once the verification process has been completed.
6.10. All prize finalists will need to supply a copy of their country’s identity Document, or Driver’s license and/or permanent residency permit, proof of residential address, completed finalist form and any other relevant documents to complete the verification process.
7. AWARDING OF PRIZES
7.1. It is the Participants' responsibility to provide the correct contact number when entering the Promotion. If the contact number provided by the Participant is incorrect, the winner will forfeit the prize and it will be transferred to the next selected memory.
7.2. All prize finalists will first be notified via telephone. In the event that a finalist is not contactable for 3 (three) consecutive days (3 contact attempts) then such finalist will forfeit their prize and another finalist will be randomly selected and the same process as described herein will be followed.
7.3. The Promoter reserves the right to carry out reasonable due diligence to confirm eligibility and may refuse to award the prize to a participant if there is suspicion of any irregularities or fraudulent activities.
7.4 The Promoters reserves the right to withdraw the prize and/or disqualify any participant/winner that may bring the Promoter brands into disrepute.
7.5 Any dispute with number ownership (such as more than one individual claiming to be the owner of the same mobile/ contact number – verbally or otherwise) will result in immediate disqualification of both the number and the individuals and no negotiations will be entered into.
7.6 None of the Promotion prizes are transferable or redeemable for cash and the Promoter is not liable for any defect, changes and/or modifications in the Prizes.
8. TERMS OF PRIZE FULFILMENT/COLLECTION   
8.1. Mauritius: The Prize winners in Mauritius will be required to go to BrandActiv offices located at IBL Complex 2, Port Louis. BrandActiv is the Promoter’s official distributor partner in Mauritius. The winners will be awarded in the presence of Mondelez representatives.
Kenya: The winners of Kenya will be required to go to the Agency executing the promotion on behalf of the Promoter, at E&M Creatives Ltd, Cathy Flats along Lenana Road. The winners will be awarded in the presence of Mondelez representatives.
Zambia: The winners will be required to go to L&A Logistics Limited located at Unit A Plot No. 9207, Kafue Road, Makeni, Lusaka. L&A Logistics is the Promoter’s official distributor partner in Zambia. The winners will be awarded in the presence of the distributors.
8.2. Winners must collect the prizes within 30 days of being notified. Any prizes collected after 30 days of being notified will be forfeited.
8.3. Winners may be required to sign Indemnities and/or Consent Forms when accepting their prize.
9. INDEMNITY
9.1 To the extent permitted by Consumer Protection legislation and any other applicable laws:
9.1.1 The Participant hereby indemnifies the Promoter, its associated companies (directors, officers and  employees) and agents against any direct, indirect, special, incidental, consequential, or punitive damages or loss of any kind regardless of how this was caused, and whether it arose under the law of contract or delict or otherwise, because of the participant’s entrance to the Promotion.
9.1.2 The Promoter excludes all warranties (express or implied), representations and liabilities regarding the Promotion (other than for death or personal injury caused by its negligence and/or fraud).
9.1.3 The Promoter reserves the right, at any time, to verify the validity of participants (including but not limited to a participant’s identity, age, and place of residence) and to reject any participant who has not complied with these Terms and Conditions.
9.2 Errors and omissions may be accepted at the Promoter’s discretion. Failure by the Promoter to enforce any of its rights at any stage does not constitute a waiver of those rights.
9.3 Neither the Promoter nor its agents or distributors will have any liability in relation to the Promotion.
9.4 By participating in the Promotion, participants agree to allow marketing materials to be sent to them from the Promoter during and after the Promotion Period.
9.5 The Promoter reserves the right to carry out reasonable due diligence to confirm eligibility and help ensure that the use of any such person in advertising or publicity for the Promotion will not bring the Promoter or any of the Promoter’s brands into public disrepute, contempt, scandal, or ridicule or reflect unfavorably on the Promotion as determined by the Promoter in its sole discretion.
9.6 Participants agree that by uploading their memories, they grant permission to the Promoter to use the videos, images, text or voice recording or any part thereof, in any and all media for promotional/ marketing purposes.
9.7 The Promoter assumes no liability whatsoever for any entry that has been omitted from participation for any reason whatsoever.
9.8 Participants warrant that they have full rights to the videos, images, text or voice recording that they upload and that the use of the said material shall not constitute a breach of any third party's copyright or other intellectual property rights.
9.9 Participants warrants that the videos, images, text or voice recordings have not been used for commercial purposes or submitted in other contests, locally or elsewhere.
9.10 The Promoter does not assume any liability for any unlawful or unlawfully produced content entry.
9.11 The Promoter reserves the right to remove in its sole and absolute discretion, any video, image, recording or text deemed inappropriate or that is not in compliance with the terms and conditions of the Promotion.
10. CONFIDENTIALITY AND DATA PROTECTION
10.1 Participants of the Promotion are voluntarily providing their personal information to the Promoter its associated agencies and the third-party service providers running the Promotion in conjunction with the Promoter.
10.2 The Promoter through subcontractors/sub processors may have access to specific information which can identify individuals who are consumers (known as “Personal Information” as defined by Protection of Personal Information Act). The Promoter and its subcontractors shall comply with all laws and regulations applicable to “Personal Information” and any related information.
10.3 By entering the Promotion and agreeing to these Terms and Conditions, participants authorize the Promoter to collect, store and use (not share) personal information of participants for communication or statistical purposes. Participants are entitled to decline any marketing communication and inform the Promoter in writing should the participant wish to be removed from all communication.
10.4 The Promoter through its sub processors warrants that any “Personal Information” will be collected in accordance with any applicable Data Protection legislation.
10.5 By entering the Promotion, the Participant consents that the Promoter may use names and images taken of the participants for publicity purposes, without any further remuneration being payable to the participants. All promotional material will become the sole property of the Promoter. However, the participant has the right to decline participating in any promotional activity or to object to these images being used by written notification to the Promoter’s Legal Department. The written notification is to reach the Promoter by no later than the last stipulated draw date.
10.6 Personal information will be retained as long as reasonably and legally required to perform the obligations under the terms of the campaign.
11. GENERAL
11.1 The Promoter reserves the right to amend, modify, change, postpone, suspend, or cancel the Promotion and any, or any aspect thereof, without notice at any time, for any reason that the Promoter reasonably deems necessary.
11.2 The onus rests on the participants to check the website for updates to the Terms and Conditions.
11.3 No liability shall lie on the Promoter in favor of any Participant, and/or third party arising from such cancellation, suspension, or termination. Therefore, the participant waives his/her right which he/she may have against the Promoter and hereby acknowledges that he/she will have no right of recourse or claim of any nature whatsoever against the Promoter.
11.4 By entering the Promotion, Participants grant the Promoter the right to use all content / material (images, text, video, voice recordings) in the Promotion for the planned duration, without any legal claim to usage rights on the content and its placement.
11.5 The Promoter reserves the right to use content in their planned Advertising and Marketing communications materials for the period of the Promotion. Should the decision be to extend the Promotion beyond 2024, the Promoter via their appointed Advertising Agency will engage with Participants to agree market related usage rights deemed appropriate and reasonable.
11.6 The Promoter’s decision is final, and no correspondence will be entered.
11.7 Each Participant agrees not to submit any entry that:
  1. infringes any third party's proprietary rights, intellectual property rights, industrial property rights, personal or moral rights or any other rights, including without limitation, copyright, trademark, patent, trade secret, privacy, publicity, or confidentiality obligations;
  2. violates any applicable laws and regulations;
  3. and contains material which is (or promotes activities which are) otherwise inappropriate, in the sole discretion of the Promoter, or contain any derogatory references to the Promoter or any other person or entity including brands or trademarks of the Promoter or any other person or entity.
11.8 No responsibility is accepted for any videos that are incomplete, tagged incorrectly, unreadable, ineligible, corrupted, misdirected, lost or delayed or are unable to be sent/ published due to technical or transmission failures of any kind or any other reason.
11.9 The Promoter will not be liable for any unforeseen defects in promotional materials supplied or manufactured by third parties including but not limited to the unique promotion code in the vintage packs and the QR code.
11.10 The Promotion is in no way sponsored, endorsed, or administered by or associated with Facebook or any other social media platform used to promote this Promotion. By entering the Promotion, Participants acknowledge that the social media platforms do not bear any responsibility for this Promotion.
11.11 If in part or all any clause of the Terms and Conditions is illegal, invalid, or enforceable: 11.11.1 It will be read down to the extent necessary to ensure that it is not illegal, invalid or unenforceable, but if that is not possible,
11.11.2 It will be severed from the Terms and Conditions, and the remaining provisions of the Terms and Conditions will continue to have full force and effect.
11.12 All queries and/or complaints pertaining to this Promotion should be directed to  www.cadbury.africa
11.13 All Terms and Conditions are subject to the laws of Republic of Kenya, Mauritius and Zambia and should a doubt or dispute occur, it will be taken before the courts of those countries.
11.14 The Promotion is not applicable in conjunction with any other offers/promotions offered by the Promoter. 11.15  In the event of any inconsistency between these Terms and Conditions and any terms and conditions printed or displayed on any marketing materials published or broadcast in any media (such as but not limited to the internet, television, radio, newspaper, magazines etc.) relating to the Promotion, these Terms and Conditions shall prevail.
